James focuses his practice on complex health care transactional and regulatory matters affecting a wide range of clients in the health care industry, including health systems, hospitals, ambulatory surgery centers, physician groups, doctors, dentists, pharmacists, nurses, social science practitioners, provider networks, pharmacies, and clinical laboratories. He advises clients on the Anti-Kickback Statute, Stark Law, False Claims Act, HIPAA compliance, state corporate practice of medicine doctrines, state licensure laws, contract drafting, and due diligence.

Additionally, James has experience advising clients in the health care industry and other sectors with respect to business transactions and general business counseling, including formation, reorganization, mergers and acquisitions, and joint ventures. He has also handled the negotiation and drafting of contracts, including employment, consulting, service, and supply and distribution agreements.

Representative Experience

  • Represents various physician practices in corporate restructuring, physician recruiting, and employment matters.
  • Represented an orthopedics practice group in its $100 million sale of practice transactions to a large health care system.
  • Represented a radiology practice group selling its assets and transferring its ambulatory facility license to another radiology practice group.
  • Represented nursing homes in the negotiation of coordination agreements with dialysis providers.
  • Represented a physician practice selling 51 percent ownership interest to a hospital and private equity–backed joint-venture transaction.
  • Represented cannabis business clients with the development of multiple recreational cannabis dispensary, craft grower, and transporter applications.
  • Represented an orthopedic group as health care regulatory counsel in obtaining approval for an Illinois Certificate of Need to construct a $19 million ambulatory surgery center and a $19 million medical office building in Elgin, Illinois.
  • Represented a nephrology group as health care regulatory counsel in obtaining approval for an Illinois Certificate of Exemption to acquire an ambulatory surgical treatment center.
