A former US Tax Court attorney and certified public accountant with over 30 years of legal experience, Jeff primarily concentrates his practice on the buying and selling of businesses, business and tax valuations, business-succession planning, and complex estate planning.

Jeff finds deep satisfaction in guiding clients through some of the most important aspects of their lives, such as planning for the successful transfers of their businesses and estates. His clients include business of all sizes, from closely held businesses, partnerships, and limited-liability companies to publicly traded companies and sole proprietorships. He frequently does work with manufacturers, wholesalers, distributors, retailers, and service providers.

In addition to his own practice, Jeff serves as a member of the firm's Billing and 401(k)/Pension Committees.

Representative Experience

  • Participated in the sale of a national design firm.
  • Successfully implemented multiple estate plans, including sales to defective grantor trusts and grantor-retained annuity trusts.
  • Participated in the successful negotiation of a settlement of a substantial real-property-tax-assessment case involving Fortune 500 companies and multiple taxing jurisdictions.
  • Successfully implemented multiple business-succession plans involving self-cancelling installment notes.
  • Successfully negotiated the sale of a National Hockey League team.
  • Participated in shareholder litigation involving complex valuation issues.
  • Participated in the sale of a national testing laboratory.
  • Represented principals in the $112 million sale of a majority interest in a wholesale optical lab, including confidential negotiations with a supplier, licensor, and competitor as well as extensive management provisions post-closing. Also worked with three firms representing the buyer regarding membership sale and subsequent operational matters, real estate, and anti-trust issues.
  • Facilitated the transfer of assets for a couple to an intentionally defective grantor trust to shield the assets from estate taxes.
