  • Represented an independent, not-for-profit research institute in its gift to a state university of approximately $40 million in endowed funds, tangible assets, and real estate to effectuate a combination between the research institute and university.
  • Represented an insurtech company in a $120 million Series C Preferred Stock financing.
  • Represented a manufacturer of smart dash cams in a $30 million Series B Preferred Stock financing and regarding its general corporate and contract requirements.
  • Represented a digital signage software company as the seller in a $28 million cross-border acquisition.
  • Represented SaaS company as the purchaser in a $5 million cross-border acquisition of a competitor.
  • Represented a marketing automation software company in obtaining $5 million in debt financing from a commercial lender.
  • Represented a venture capital fund as lead investor in a $14 million Series B Preferred Stock financing of a company producing baby monitors.
  • Represented a food audit software company in a $1.25 million Series Seed financing involving extensive corporate cleanup and restructuring.
  • Represented a medical device company in a $1 million SAFE financing.
  • Represented a cryptocurrency software company in connection with its corporate structuring and in a $500,000 SAFE financing.
  • Represented a leading Israeli venture capital fund in managing its investments in portfolio companies and other general intrafund needs.
  • Represented a pharmaceutical company regarding its licensing and distribution activities in Southeast Asia.
  • Represented a US corporation in restructuring its various Israeli subsidiaries.
  • Represented the owner, organizer, and producer of a US tradeshow for people with disabilities and the seller in the negotiation and sale of meetings, events, tradeshows, and exhibitions and related digital properties to a UK-based media business.
